We are seeking an experienced Director of Commercial Strategy & Contracts to lead our commercial contracting, procurement strategy, strategic partnerships, acquisitions support, proposal management, and executive commercial operations. This is a senior leadership opportunity for a commercially minded executive who can structure complex business transactions while supporting rapid company growth. Position Summary The Director of Commercial Strategy & Contracts serves as BeeEnergy's primary commercial advisor responsible for evaluating, negotiating, coordinating, and managing strategic business agreements across the organization. Working closely with executive leadership and outside legal counsel, this individual ensures contracts and commercial transactions are strategically sound, financially advantageous, operationally executable, and aligned with company objectives. This position is not corporate legal counsel. Instead, it serves as BeeEnergy's commercial business leader responsible for contract strategy, commercial negotiations, procurement, acquisitions support, proposal review, investor documentation coordination, and commercial risk management. Key Responsibilities Commercial Contracts Review, negotiate, coordinate, and manage commercial agreements including: • Letters of Intent (LOIs), • Memorandums of Understanding (MOUs), • Teaming Agreements, • Strategic Partnership Agreements, • Master Service Agreements (MSAs), • Non-Disclosure Agreements (NDAs), • Vendor Agreements, • Customer Contracts, • Consulting Agreements, • Licensing Agreements, • Software Licensing Agreements, • Procurement Agreements, • Technology Partnership Agreements, • Joint Venture Agreements, • Purchase Agreements, • Statements of Work (SOWs), • Change Orders Strategic Business Development Support executive leadership with commercial evaluation of: • Strategic partnerships, • Solar installer partnerships, • Data center partnerships, • Energy infrastructure projects, • Investor opportunities, • International business opportunities, • Government contracting opportunities, • Technology commercialization initiatives, • Corporate expansion strategies Proposal Management Provide executive commercial review of: • Customer proposals, • Commercial proposals, • RFP responses, • RFI responses, • RFQ responses, • Executive summaries, • Pricing strategies, • Commercial assumptions, • Proposal compliance, • Risk assessments Investor & Private Placement Documentation Coordinate commercial review of: • Private Placement Memorandums (PPMs), • Investor presentations, • Investment memorandums, • Executive summaries, • Due diligence documentation, • Commercial forecasts, • Strategic business models, • Financial assumptions Coordinate closely with securities counsel regarding applicable compliance requirements. Procurement & Supply Chain Lead company procurement initiatives including: • Procurement strategy, • Vendor evaluation, • Supplier qualification, • Strategic sourcing, • Contract negotiations, • Purchase approvals, • Procurement policies, • Cost reduction initiatives, • Vendor performance management Acquisitions & Corporate Development Support executive leadership with: • Company acquisitions, • Asset purchases, • Due diligence, • Commercial evaluations, • Financial assumptions, • Transition planning, • Integration planning, • Valuation support, • Commercial negotiations Commercial Risk Management Evaluate commercial risks involving: • Contract language, • Pricing, • Delivery schedules, • Performance obligations, • Intellectual property, • Payment terms, • Warranty provisions, • Liability exposure, • Vendor performance, • Customer commitments Develop recommendations that reduce commercial risk while supporting business growth. Executive Leadership Support Advise executive leadership regarding: • Commercial strategy, • Business negotiations, • Strategic partnerships, • Contract disputes, • Procurement decisions, • Acquisition opportunities, • Commercial risk, • Business process improvements Prepare executive briefing materials before major negotiations. Qualifications Required Education Bachelor's degree in one or more of the following: • Business Administration, • Finance, • Supply Chain Management, • Contract Management, • Procurement, • Project Management, • Engineering, • Economics MBA preferred.
