Job DescriptionProject Finance Associate Attorney Locations: Los Angeles, CA | New York, NY Salary: Competitive based on class year (approximately $235,000–$390,000+), plus discretionary bonus Direct Counsel is seeking a Junior Project Finance Associate to join a leading Am Law firm's nationally recognized Renewable Energy Project Finance practice. This is an exciting opportunity for an attorney with 2+ years of experienceto work on cutting-edge renewable energy transactions involving wind, solar, and battery storage projects across the United States. The ideal candidate will have project finance or project development experience and an interest in representing lenders on sophisticated financing transactions supporting the nation's growing clean energy sector. Responsibilities • Assist with project document diligence for renewable energy financing transactions., • Review and analyze construction contracts, equipment supply agreements, offtake agreements, and related project documentation., • Support financing transactions involving:, • Construction financing, • Term loan financing, • Back-leverage financing, • Conduct legal due diligence related to the development, construction, and operation of renewable energy projects., • Collaborate with partners and deal teams to identify legal risks and facilitate successful transaction execution., • Work closely with lenders, developers, and other transaction participants throughout all phases of project financings., • Assist with drafting transaction-related documents and preparing diligence summaries.Qualifications, • J.D. from an accredited law school., • Active bar admission in California or New York, depending on office preference., • 2+ years of experience in project finance, project development, finance, corporate transactions, or a related practice area., • Experience reviewing project documents such as construction contracts, equipment supply agreements, EPC agreements, or similar commercial contracts is preferred., • Interest in renewable energy, infrastructure, or project finance transactions., • Strong legal research, analytical, drafting, and communication skills., • Ability to manage multiple assignments in a collaborative, fast-paced environment.Why Apply?, • Join a nationally recognized renewable energy project finance practice representing leading financial institutions on complex clean energy transactions., • Work on sophisticated financing matters involving solar, wind, and battery storage projects across the United States., • Gain hands-on experience with high-profile, industry-leading transactions alongside experienced project finance attorneys., • Competitive market compensation based on class year, discretionary performance bonus, and a comprehensive benefits package with excellent opportunities for mentorship and long-term career growth.
